The primary purpose of the annual report requirement is to provide the public, investors, the filing office, and other government agencies with the information necessary to locate and communicate with companies formed or doing business in the state. It is generally required to be filed annually in case there are changes to the reported information such as a change in location, management, or registered agent. The annual report provides the states with a means for keeping updated information on businesses.

Below are the Annual Report filing requirements for Massachusetts:

Corporation (C-Corp & S-Corp)

Every corporation authorized to transact business in the Commonwealth MUST file an annual report with the Corporations Division within two and one half (2½) months after the close of the corporation’s fiscal year end.

  • For a corporation with a calendar year ending December 31st, the annual report is due by March 15th of the following year
  • The online filing fee is $110.00 ($100 plus $10 processing fee)

Limited Liability Company (LLC)

Every limited liability company must file an annual report with the Corporations Division on or before the anniversary date of the filing of its original certificate of organization. The report shall contain all of the information included in its certificate of organization and any other matters the authorized person determines to include.

  • If an LLC was organized on February 1st, the annual report is due by February 1st every year
  • The online filing fee is $520.00 ($500 plus $20 processing fee)

Limited Liability Partnership (LLP)

All registered limited liability partnerships must file an annual report on or before the last day of February. The report renews the registration and must include all information required or allowed in the original registration. If the partnership renders professional services, the report must identify all partners who render professional services in the Commonwealth and contain a certification that each partner who renders a professional service in the Commonwealth is duly licensed to do so.

  • Annual report is due by February 28th of the following year
  • The online filing fee is $520.00 ($500 plus $20 processing fee)
